Article I: Name and Purpose
제1장. 명칭과 원칙, 목적
1.1. Name: The organization shall be known as WorldLand DAO (hereinafter referred to as “the DAO”).
1.1. 명칭: 본 조직은 월드랜드 DAO라 칭한다(이하 DAO라 칭함).
1.2. Principle: The DAO shall act in accordance with the following principle.
• Free-minded individuals carry the idea of transforming the old into the new, creating products and services that contribute to advancing society by introducing a step forward in social progress.
• DAO is a gathering of free-minded individuals.
1.2. 원칙: DAO의 원칙은 다음과 같다.
• 자유한 자는 옛것을 새롭게하는 생각을 품고 제품과 서비스를 만들어 세상에 내어놓아 사회의 한 단계 진보를 추동한다.
• DAO는 하기 목적을 위한 자유한 자들의 모임이다.
1.3. Purpose: The primary purpose of the DAO is to operate as a decentralized autonomous organization in accordance with the principles outlined in this document. The DAO is a self-organization entity that collaborates to plan and drive various new ventures, educational initiatives, and research activities including building a global land, a platform people participate in one product economy. Its objective is to encourage the autonomous participation and activities of its members while operating with a decentralized governance structure.
1.3. 목적: DAO의 본질적 목적은 본 문서에 기술된 원칙에 따라 탈중앙화된 자율 조직으로 작동하는 것이다. DAO는 세계인이 참여하는 글로벌 디지털 생산 경제 플랫폼 구축을 포함한 다양한 새로운 사업, 교육, 연구 활동을 기획하고 추진하기 위하여 협력하는 자율조직이다. 소속원들의 자율적인 참여와 활동을 추구하여 탈중앙적인 거버넌스 구조로 운영한다.

Article II: Membership
제2장. 회원 자격
2.1. Membership: Membership in the DAO is open to anyone that adheres to the rules and smart contracts established by the DAO.
2.1. 회원 자격: DAO의 회원자격은 DAO가 정한 규칙 및 스마트 컨트랙트를 준수하는 누구에게나 주어진다.
2.2. Rights and Responsibilities: Members of the DAO have the following rights and responsibilities:
• Participate in voting on proposals and decisions.
• Propose new projects or initiatives.
• Access and review the DAO’s financial and operational information.
• Comply with the rules and regulations set forth in this document and by the DAO’s smart contracts.
2.2. 권리와 책임: DAO의 회원은 다음과 같은 권리와 책임을 가진다.
• 제안 및 결정에 투표 참여
• 새로운 프로젝트 혹은 계획 제안
• DAO의 재정 및 운영 정보에 대한 접근 및 검토
• 본 문서 및 DAO의 스마트 컨트랙트에 따라 정해진 규칙과 규정을 준수
2.3. WorldLand Coin (WLC) Ownership: Except in special cases, membership and voting rights in the DAO are determined by ownership of WorldLand Coin. Each coin holder possesses voting rights proportionate to the number of coins they hold. Special cases under this clause shall be determined according to the supplementary provisions.
2.3. 코인의 소유: 특별한 경우를 제외하면 DAO의 회원 자격 및 투표 권한은 월드랜드 코인 소유에 의해 결정된다. 각 코인 보유자는 보유한 코인 수에 비례한 투표 권한을 가진다. 이 조항의 특별한 경우는 부칙에 따라 정한다.

Article III: Governance
제3장. 거버넌스
3.1. Decision-Making: The DAO shall make decisions through a decentralized voting mechanism.
Proposals may be submitted by any member, and decisions shall be reached based on a majority vote or two-third of WLC holders depending on the importance of the proposals as follows:
The following matters require the agreement of at least two-third of the total votes:
• Matters related to the establishment and dissolution of the DAO or WorldLand Foundation
• Matters affecting the major operational purposes and methods of the DAO or WorldLand Foundation as outlined in their articles
• Other matters requiring amendments as stipulated in these articles
The following matters require the agreement of at least two-third of the total votes:
• Approval of the proposal regarding the allocation of ECO Funds for ideas proposed to enhance DAO or WorldLand platform development (dApps, investment, etc.).
• Other general proposals
3.1. 의사 결정: DAO는 탈중앙화된 투표 메커니즘을 통해 의사 결정을 내리도록 한다. 어떤 회원이든지 의견을 제출할 수 있으며 결정은 안건의 중요도에 따라 과반수 혹은 3분의 2의 투표 결과에 따른다.
다음의 사항은 전체 투표수의 3분의 2 이상의 동의를 얻어야 한다.
• DAO 혹은 월드랜드 재단의 설립과 폐쇄와 관련한 사항
• DAO 혹은 월드랜드 재단의 주요 운영목적, 주요 운영방식 등에 영향을 주는 중요한 사항
• 기타 본 정관에서 정하는 내용에 변경을 요하는 사항
다음의 사항은 전체 투표수의 과반수 이상의 동의를 얻어야 한다.
• DAO 혹은 월드랜드 플랫폼의 발전을 위하여 제안되는 아이디어에 ECO Fund를 지급하는 안건에 관한 승인 (dApp, WLC 투자 및 판매 등)
- 그 외 일반 제안 사항 등
3.2. Voting Period: The voting period for each proposal shall be a period of a certain number of blocks formed from the block height at the time of the voting proposal. Members may cast their votes during this period.
3.2. 투표기간: 각 제안의 투표 기간은 투표 제안 시점 블록높이를 기준으로 특정 갯수의 블록이 추가로 형성되는 기간으로 정의 한다. 회원은 이 기간 동안에 투표를 할 수 있다.
3.3. Quorum: A minimum quorum of 25% of all eligible WLC holders must participate in a vote for the decision to be valid.
3.3. 정족수: 투표 결정이 유효하기 위해서는 모든 적격 코인 보유자의 최소 정족수 25%가 투표에 참여해야 한다.
3.4. Smart Contracts: The DAO may use smart contracts to automate certain governance processes, including proposal submission, voting, and fund disbursement.
3.4. 스마트 컨트랙트: DAO는 제안서 제출, 투표, 자금 지출 등 특정 거버넌스 프로세스를 스마트 컨트랙트를 사용하여 자동화할 수 있다.
3.5. Supplementary Provisions: Detailed matters related to the governance of the DAO are referred to in the supplementary provisions.

Article IV: DAO’s ECO Fund Management
제4장. 자금 운영
4.1. Funding: The funds referred to as DAO funds in this Articles signify the WorldLand Coin (WLC) issued in the WorldLand Genesis Block, designated for use in the ECO fund. All financial transactions and fund management shall be transparent and verifiable on the blockchain.
4.1. 자금: 본 정관에서 DAO의 자금이라 지칭한 자금은 WorldLand Genesis 블록에서 발행하여 ECO Fund로 사용하기로 지정한 WLC를 의미한다. 탈중앙화된 지갑 혹은 스마트 컨트랙트에 보관한다. 모든 재정 거래와 자금 관리는 블록체인에서 투명하고 검증 가능해야 한다.
4.2. Proposals for Funding: Any member can submit a proposal to allocate funds from the DAO’s treasury for specific purposes. Proposals shall follow the guidelines outlined in this document.
4.2. 자금 할당 제안: 어떤 회원이든 DAO의 자금을 특정 목적을 위해 할당하기 위한 제안을 제출할 수 있다. 제안은 본 문서에 기술된 지침을 따라야 한다.
4.3. Disbursement: Funds shall be disbursed according to the results of the voting process. A proposal is considered approved if it receives a majority vote or the support of two-third or more, depending on the nature of the matter.
4.3. 지급: 자금은 투표 결과에 따라 지급되어야 한다. 제안이 사안에 따라 과반수 혹은 3분의 2 이상 찬성 투표를 받으면 승인된 것으로 간주한다.

Article V: WorldLand Coin
제5장. 월드랜드 코인
5.1. Issuance and Utilization: The total supply of WorldLand coins shall be 40,996,800. Over a five-year period, 80% of the total issuance will be allocated for the development of the WorldLand ecosystem according to the designated uses outlined in this document. In this article, the allocated 80% of the total issuance is defined as the Ecosystem (ECO) Fund. In the first year, 30% of the total WLC allocation for issuance will be used; in the second year, 30%; in the third year, 20%; in the fourth year, 10%; and in the fifth year, 10%.
5.1. 발행과 사용: 월드랜드 코인의 발행 총 수는 40,996,800개로 한다. 코인은 월드랜드 생태계 발전을 위해 본 문서에 기재된 사용처에 5개년에 걸쳐 발행 총량의 80%가 사용된다. 본 장에서는 발행 총량 80%에 해당하는 해당 코인을 생태계 자금 (ECO Fund)라 칭한다. 발행 1년차에 사용할 코인 총량의 30%, 2년차에 30%, 3년차에 20%, 4년차에 10%, 5년차에 10%를 사용한다.
5.2. Use Cases: WLCs will be employed for various purposes, including education, development, global reach-out, and MY AI Network development, Wallets, NFT/Game, Voting/Bridge, Mainnet, Research, Investment among others. Detailed specifics related to this are stipulated in supplementary provisions.
5.2. 사용분야: 코인은 교육, 개발, 전 세계적 생태계 확장, MY AI Network 개발, 지갑, NFT/게임,투표/브릿지, 메인넷, 연구, 투자 및 WLC 판매 등에 쓰이도록 한다. 관련된 세부사항은 부칙에 따른다.

Article VI: Amendments
제6장. 수정
6.1. Amendments to the Articles of WorldLand DAO: Proposed amendments to these Articles of WorldLand DAO may be submitted by any member and shall follow the same governance process as other proposals.
6.1. 정관의 수정: 본 정관에 대한 수정 제안은 어떤 회원이든 제출할 수 있으며 다른 제안과 동일한 거버넌스 프로세스를 따라야 한다.

Article VII: Dissolution
제7장. 해산
7.1. Dissolution: In the event of the dissolution of the DAO, its assets shall be distributed to the WLC holders in proportion to their WLC holdings.
7.1. 해산: DAO가 해산할 경우, 자산은 코인 소유자에게 코인 보유 비율에 따라 분배되어야 한다.

Article VIII: Legal Status
제8장. 법적 지위
8.1. Legal Recognition: The DAO does not have a separate legal entity and operates as a decentralized autonomous organization. It relies on blockchain technology and smart contracts to enforce its rules and agreements.
8.1. 법적 인정: DAO는 별도의 법적 개체가 아니며 탈중앙화된 자율 기관으로 작동한다. 규칙과 협약은 블록체인 기술과 스마트 컨트랙트에 기반하여 시행한다.
8.2. Compliance: Members of the DAO are responsible for complying with all applicable laws and regulations in their respective jurisdictions.
8.2. 준수: DAO 회원은 각자의 관할 지역의 모든 적용 가능한 법과 규정을 준수해야 한다.

Article Ⅸ: Governing Law
제9장. 준거법
9.1. Governing Law: These Articles shall be governed by and interpreted in accordance with the laws of the Republic of Korea, without regard to its conflict of international laws principles.
9.1. 준거법: 본 정관은 국제사법 원칙에 관계없이 대한민국의 법률에 따라 규율되고 해석된다.
